Baconton Downtown Development Authority

The Baconton Downtown Development Authority is managed by its
directors consisting of seven persons, appointed for four-year
terms as provided by OCGA-3642-4. Regular monthly meetings are
held on the first Thursday of each month at 6:30 p.m. at the
Baconton City Hall. Special meetings may be held upon call
of the Authority.

BY-LAWS OF
THE DOWNTOWN DEVELOPMENT AUTHORITY
OF THE CITY OF BACONTON, GEORGIA
ARTICLE I
MEMBERS
|
Section 1. Management powers, Number, Qualification and Term.
The
property, affairs, and business of the Downtown Development Authority of Baconton
shall be managed by its directors consisting of seven persons, appointed for four-year
terms as provided by OCGA-3642-4 (after July 1,1994).
Section 2. Authority. The directors shall have such authority as is conferred upon
them by the "Downtown Development Authority Law," as the same now exists or may
hereafter be amended, and such other power and authority as may be contained under the
Constitution and the Laws of the State of Georgia as the same may now or hereafter exist.
Section 3. Regular Meetings.
a. Regular meetings of the Authority shall be held each month on the
first Thursday at 6:30 p.m. Any member who misses three consecutive meetings may no
longer serve on the Baconton Downtown Development Authority.
b. The Baconton Downtown Development Authority will assure that
all public meeting notices are posted prior to the meeting. All tentative agenda items
must be given to the Baconton Downtown Development Authority twenty-four hours in
advance of the meeting.
Section 4. Special Meetings. Special meetings may be held upon call of the
Baconton Downtown Development Authority. Notice of special meetings may be either
oral or written. Oral notice may be delivered personally or by telephone and shall be
given at least forth-eight hours prior to the time of the meeting.
Section 5. Quorum. Four members, duly assembled, shall constitute a quorum.
Section 6. Parliamentary Procedures. In case of dispute concerning
parliamentary procedures governing the conduct of meetings of the Authority, Roberts Rule of Order shall govern.
Section 7. Annual Training. Each member must complete one training session
required for Downtown Development Authority members as soon as possible following
appointment to the board. Thereafter, each member will be encouraged to participate in
such training conferences on an annual basis.

ARTICLE II
OFFICERS

Section 1. Number. The Baconton Downtown Development Authority shall
elect a Chairman, a Vice Chairman, a Secretary/Treasurer.
Section 2. Election. At the first regular meeting in December of every year new
officers shall be elected or reelected. Notice of time and place of such meeting shall be
posted.
Section 3. Term and Removal. All officers shall be elected by and serve at the
discretion of the Baconton Downtown Development Authority and any officer may be
removed from office, with cause, at any time, by the affirmative vote of the majority of
the members of the Authority then in office. A vacancy in any office because of death,
resignation, removal, disqualification or otherwise, shall be filled by the members for the
unexpired portion of the term. Resignations shall be submitted in writing to the
Chairman.
Section 4. Powers. The powers and duties of the several officers shall be as
provided from time to time by resolution or other directive of the members. In the
absence of such provisions, respective officers shall have the powers and shall discharge
the duties customarily and usually held and performed by like officers of the authorities
similar in organization and purposes to this Authority.

ARTICLE III
FISCAL YEAR

Section 1. Time. The fiscal year of the Authority shall begin on the first day of
January of each year and end on the last day of December of each year.
Section 2. Annual Meetings. The annual meeting of the Authority shall be held
on the date of the first regular meeting in December of each year. The Chairman shall
give notice of the time and place of such meeting.
Section 3. Annual Audit. The accounting firm representing the City of Baconton
shall conduct the Annual Audit for the Baconton Downtown Development Authority. A
copy of the audit shall be filed with the State Auditor.

ARTICLE IV
CORPORATE SEAL

Section 1. Seal. The Seal of the Authority shall consist of an impression bearing
the name "Baconton Downtown Development Authority Corporate Seal Georgia."

ARTICLE V
DEPOSITORIES
|
Section 1. Depositories. The Authority shall from time to time provide by
resolution or resolutions for the establishment of depositories for funds of the Authority.
Section 2. Notes, Drafts, and Checks. All drafts, checks, etc., drawn against
accounts of the Authority in an amount of $100.00 or more, or in any amount for an item
not provided for in the approved budget, will require prior review and approval by the
officers of the Baconton Downtown Development Authority. Any draft or check against
the accounts of the Authority in an amount of $100.00 or more, any check or draft made
out to cash, and any check or instrument endorsed for cash, shall be signed by either the
Chairman or the Treasurer. In any event, only one signature is required.
Section 3. Financial Reporting and Reviews. A detailed register of all account
transactions, an accounting of actual expenses will be provided at the regular monthly
board meetings. In addition, financial compilation reports prepared by a certified public
accountant will be submitted to the Baconton Downtown Development Authority as
required.

ARTICLE VI
AMENDMENTS
|
|
Section 1. Amendments. The by-laws of the Authority shall be subject to
alteration, amendment or repeal, and new by-laws not inconsistent with any laws of the
State of Georgia creating this Authority may be made by the affirmative vote of a
majority of the members then holding office at any regular or special meeting of said
members.
