BYLAWS

of the

Wenatchee Valley Soccer Referee Association

Article I -NAME, AFFILIATION AND PURPOSES

Section 1: Name

The name of the organization shall be the Wenatchee Valley Soccer Referee Association, hereinafter referred to as the association.

Section 2: Affiliation

The principal affiliation of the Association will be with the United States Soccer Federation (USSF) through it's member State Associations, the Washington State Soccer Association (WSSA), the Washington State Youth Soccer Association (WYSSA), the Washington Interscholastic Activities Association (WIAA), and the Washington Officials Association (WOA). The Association may affiliate with other associations, federations and organizations in the furtherance and promotion of soccer and soccer officiating throughout the Wenatchee Valley.

Section 3: Purposes

  1. To actively promote the sport of soccer and soccer officiating within the Wenatchee Valley.
  2. To establish and maintain a standard of ethics for all officials: and foster a spirit of pride, unity and cooperation among all officials in the Wenatchee Valley in accordance with the USSF Code of Ethics and Guidelines.
  3. To provide a representative body and forum for all soccer officials within the Wenatchee Valley.
  4. To provide a means for the teaching, assignment, assessment and advancement of soccer officials; and improving the quality of soccer officiating throughout the Wenatchee Valley
  5. To coordinate and cooperate with other associations, federations and organizations who play the sport of soccer in the Wenatchee Valley in the teaching, assignment and assessment of officials.

 

 

Article II -ADMINISTRATION

Section 1: Board of Directors

A Board of Directors, hereinafter referred to as the Board, shall govern the administration of the Association's affairs; and shall control all expenditures, make rules and determine policy for the Association's programs, publications and property, and act for the interest of the Association in any way not inconsistent with these bylaws. The Board shall consist of a president, Vice president, treasurer, and referee assignor.

Section 2: Committees and Appointments

Except as otherwise provided in these Bylaws, the Board may create or dissolve such standing or special committees, or specially appointed positions, it deems appropriate to carry out the purposes of the Association, delegate to them such powers it deems appropriate, and confirm the appointments by the president of their presiding officers and members. No Association member may serve in more than one specially appointed position at a time, as determined by the Board.

Section 3: Duties of the President

The president shall be the presiding officer of the Association. The president shall, with the confirmation of the Board, make all appointments of presiding officers and members to standing or special committees, and all specially appointed positions. The president shall, with the concurrence of the Board, hire or remove any paid personnel; and determine, supervise and manage their activities on behalf of the Association. The president shall preside at all meetings of the Association and act as the spokesperson for the Association.

Section 4: Duties of the Vice President

The vice president shall act as the presiding officer of the Association in the absence or disability of the president. The vice president may be assigned such additional duties as may be determined by the president or the Board. The vice president shall be responsible for keeping a record of all the proceedings of the Association or Board. The vice president shall provide periodic summaries of the Association's activities, as directed by the Board, and shall give notice of all meetings of the Association to the members. In the absence of the president at any meeting the vice president may appoint a temporary recorder to perform the duties of the vice president.

Section 5 Duties of the Treasurer

The treasurer shall establish and maintain procedures for the collection and disbursement of all funds belonging to or administered by the Association. The treasurer shall ensure that proper records and accounts of all financial activity are kept and maintained, and when requested by the Board, present a report of the Association's financial condition.

Section 6: Duties of the Referee Assignor

The referee assignor shall be responsible for correspondence and contact with affiliations, soccer associations and other organizations regarding scheduling of referees and dissemination of information. The referee assignor shall maintain a current roster of all members and assign referees to officiate soccer matches. The referee assignor may appoint assistant assignors as necessary.

Section 7: Duties of the Member at Large

The Member at Large, as elected or appointed by the Board, will assist the Board in promoting the sport of soccer and soccer officiating within the Wenatchee valley. The Member at Large will interface with the local youth and recreational soccer association(s) and the public as the need arises. The Member at Large will report to and work under the direction of the Board.

Section 8: Financial Review

The Board may seek an outside independent accountant to conduct a review of the financial statements, books and accounts of the Association at the close of the fiscal year and provide a written report of findings on its financial status when deemed necessary.

 

 

Article III -MEMBERSHIP

Section 1: Membership Eligibility

Individuals who are residents of the Wenatchee Valley and are registered with the USSF shall be Members of the Association. The Board may create or dissolve such other special classes of membership, and establish the eligibility requirements it deems necessary to further the purposes of the Association. Only Members are eligible to vote in any election of the Association.

Section 2: Dues and Fees

The board may establish and modify differing dues and fees to serve the needs of the membership and the purposes of the Association.

 

Article IV -NOMINATION AND ELECTION

Section 1: Nominating Committee and Duties

A nominating committee shall be appointed by the Board no later than its September meeting to nominate candidates for officer positions. The committee shall submit the names of the candidates selected during the October meeting.

Section 2: Annual General Meeting Nominations

The members of the Association eligible to vote may nominate additional candidates, who are Members, from the floor for each eligible position on the ballot. No member may nominate more than one person to any eligible position

Section 3: Election Procedures

Election of nominated candidates shall be done by a show of hands unless the President determines that another procedure is necessary.

Section 4: Term of Office

All elected officers shall serve a term of one year beginning immediately upon election and lasting until the next election.

Section 5: Vacancies

Vacancies on the Board for any elected officer shall be filled by an appointment by the Board. Any person so appointed shall serve until the next annual election.

Section 6: Removal of Officers

Any officer may be removed from office by a two-thirds vote of the entire Board for good cause.

 

Article V -MEETING

Section 1: Annual General Meeting

The annual general meeting will be held in November at a time and location determined by the Board. Members shall be notified by mail. The Members present shall constitute a quorum.

Section 2: Regular Meetings

There shall be a minimum of five regular meetings of the membership in addition to the annual general meeting during each year.

Section 3: Special Meetings

Special meetings of the Association may be called by the president or a majority of the entire Board. The Members present shall constitute a quorum.

Section 4: Board Meetings

The Board shall meet regularly at a time and location determined by the Board. Board meetings shall be open to the membership. A majority or the entire Board shall constitute a quorum.

Section 5: Rules of Order

The most current edition of Robert's Rules of Order shall govern all parliamentary procedures.

 

Article VI - AMENDMENTS

Section 1: Proposed Amendments

Amendments to the bylaws may be proposed by any member of the Association. Proposed amendments shall be presented to the President, who shall present it to the Board at its next meeting. The Board shall examine the proposed amendment and, if not inconsistent with the purposes of the Association, shall accept and present it to the membership of 'the Association at the next meeting for a vote. If the Board determines that the amendment is inconsistent with the purposes of the Association, the member may present the amendment at the next meeting. If accepted by a majority vote of those members in attendance, it shall be placed on the ballot for the following meeting.

Section 2: Vote of the Membership Required

Any proposed bylaw amendment accepted shall be submitted for approval by the membership at the next meeting. The ballot may also include statements for and against the proposed amendment(s). Approval by the membership will be a simple majority of the membership in attendance. An amendment will be effective upon its approval.
